Welcome to The Zynocta Co. These Terms & Conditions
govern your use of our website and the digital
services we provide. By accessing our website or
engaging our services, you agree to the terms
applicable to your use.
1. Services and Project Scope
The Zynocta Co. offers digital solutions that may include
website design and development, e-commerce
development, web applications, branding, search
engine optimisation, content services, and other
digital services. The specific deliverables,
project scope, pricing, and timeline will be
confirmed in a proposal, invoice, or written
project agreement before work begins.
2. Project Agreements
Each project may be governed by a separate written
agreement or Statement of Work (SOW). If a project
agreement sets out specific terms that differ from
these general conditions, the project-specific
terms will govern that project to the extent of
the inconsistency, subject to applicable law.
3. Pricing and Payments
Project fees, deposits, payment milestones, and due dates will
be agreed upon before work begins. Where an advance payment is
required, work may begin after the agreed deposit is received.
Invoices must be paid according to the agreed schedule.
Care Plans (monthly or annual maintenance plans) are billed in
advance on a recurring basis, as set out on our Pricing page
or in the relevant proposal. Care Plan fees are charged
separately from project fees. If a recurring payment is not
received by its due date, we may pause the Care Plan services
until the outstanding amount is paid.
We accept payment through the payment methods made available
or agreed upon for the relevant project, which may include
Visa, Mastercard, Google Pay, and Payoneer. Availability may
depend on the client's location and the payment provider.
If a payment becomes overdue, we may pause work or withhold
final delivery until outstanding amounts are settled, where
permitted by the project agreement and applicable law.
4. Revisions and Additional Work
The project agreement will specify any included
revisions or review rounds. Requests that exceed
the agreed scope, introduce new functionality,
or change previously approved requirements may
require additional fees and an adjusted timeline.
We will communicate significant changes to scope
or cost before proceeding with additional work.
Clients should review submitted work and provide feedback
within seven calendar days, unless another review period has
been agreed. If no response is received, we may send a reminder
and revise the delivery schedule. Silence alone does not
automatically constitute final approval unless an acceptance
mechanism has been expressly agreed in writing and is permitted
by applicable law.
5. Client Responsibilities
Clients are responsible for supplying accurate
information, content, images, branding assets,
approvals, and other materials needed for their
projects. Clients must have the necessary rights
or permissions to use the materials they provide.
Delays in receiving content, feedback, approvals,
or payments may affect delivery dates.
6. Intellectual Property and Ownership
Unless otherwise agreed in writing, ownership of
eligible custom deliverables created specifically
for a client will transfer to that client after
full payment has been received. This transfer does
not automatically include pre-existing tools,
reusable code, development methods, third-party
software, stock assets, fonts, plugins, or other
materials governed by separate licences. Such
materials remain subject to their applicable
ownership and licence terms.
6A. Portfolio and Promotional Rights
Unless otherwise agreed in writing, we may display completed
client projects in our portfolio and promotional materials.
We will not knowingly disclose confidential information or
private credentials. Any agreed confidentiality restrictions
will be respected, subject to applicable law.
7. Domains, Hosting and Third-Party Services
Domain registration, website hosting, business
email, payment gateways, plugins, APIs, and other
third-party services may involve separate charges,
renewal dates, usage restrictions, and provider
terms. Any included services, coverage periods,
and renewal responsibilities will be specified
in the relevant project agreement. Continued
use may require renewal or subscription payments.
8. Delivery and Project Timelines
We aim to deliver agreed work within the estimated
timeframe. Timelines may change because of scope
changes, delayed client feedback, outstanding
payments, technical issues, or circumstances
outside our reasonable control. Any firm deadline
must be expressly agreed upon in writing.
9. Maintenance and Support
Ongoing maintenance, security monitoring, backups, content
updates, and technical support are not included by default
unless stated in the project agreement or covered by an active
Care Plan. After handover, clients are responsible for website
changes made by themselves or other parties unless ongoing
support has been agreed.
Care Plans. We offer monthly and annual Care
Plans (Starter, Growth, Pro, and Enterprise). The services
included in each plan, such as backup frequency, number of
content updates, security checks, reports, and response times,
are those listed for that plan on our Pricing page at the time
of purchase. Response times are targets measured in business
days and hours and are not guaranteed outcomes.
Unused content updates do not carry over to the following
month. "Unlimited" updates under the Enterprise plan are subject
to fair use. Work outside the scope of the chosen plan, such as
new pages, redesigns, or new features, is billed separately at
our hourly rate, and we will confirm the cost with you before
starting that work.
Care Plans do not include domain registration, hosting, premium
plugins, or other third-party subscription fees unless expressly
stated in your project agreement. We cannot guarantee that a
website will never experience downtime, security incidents, or
data loss, and we are not responsible for issues caused by
third-party providers or by changes made by the client or other
parties.
10. Cancellations and Refunds
Clients may request cancellation of a project by contacting
us in writing. Any refund will be assessed according to the
agreed project terms, the work completed, and applicable law.
Care Plans. Monthly Care Plans may be cancelled
at any time by contacting us in writing before the next billing
date. Cancellation takes effect at the end of the current paid
period, and fees already paid for that period are not refunded.
Annual Care Plans are paid in advance and are non-refundable
once the plan has started, unless required by applicable law.
Fees for work already completed and non-recoverable third-party
expenses may be deducted from any amount refundable, where
legally permitted. Deposits are not automatically refundable;
however, any non-refundable deposit term is subject to
applicable law and any mandatory cancellation or refund rights.
If we cancel a project, we will assess the work completed,
payments received, and any refund due under the project
agreement and applicable law.
11. Acceptable Use
You must not use our website or services for
unlawful activities, unauthorised access, fraud,
distribution of malicious software, infringement
of intellectual property rights, or activities
that compromise the security or operation of our
systems. We may take reasonable action to address
misuse or protect our services and users.
12. Third-Party Dependencies and Liability
Our services may rely on third-party platforms, hosting
providers, APIs, software, or integrations. We cannot guarantee
their continuous availability or control changes made by
their providers.
To the extent permitted by applicable law, our total aggregate
liability arising from a specific project will not exceed
the total fees paid or payable for that project.
This limitation does not apply to liability that cannot
lawfully be excluded or limited. Nothing in these terms
excludes mandatory consumer rights or other legal protections
that cannot lawfully be excluded or limited.
13. No Guarantee of Business Results
We aim to provide professional digital solutions,
but we do not guarantee particular search rankings,
website traffic, enquiries, sales, revenue, or
other commercial outcomes unless a specific
commitment is expressly agreed upon in writing.
Results may depend on market conditions, client
decisions, competition, and third-party platforms.
14. Changes to These Terms
We may update these Terms & Conditions when
our services, business practices, or legal
requirements change. Updated terms will be
published on this page with a revised date.
Changes will apply as permitted by applicable
law and any existing project agreement.
15. Governing Law
These Terms & Conditions are intended to be governed by
the laws of Pakistan, subject to any mandatory legal protections
that apply to clients in their own jurisdictions.
Subject to applicable law, disputes arising from these terms
may be brought before the competent courts in Pakistan.
Nothing in this section removes any mandatory consumer rights
or legal protections that cannot lawfully be excluded.
